In-house IT Contract Counsel
Job description
We are looking for an outgoing talented individual with a minimum of 10 years of law practice experience, with a preference for a combination of law firm and in-house experience. Applicants should have a specialization in technology and contract law, working within a company to manage and advise on all legal aspects related to IT contracts, software licensing, data privacy, and other technology-related agreements.
Job Responsibilities:
Drafting, Reviewing, and Negotiating IT Contracts:
This includes a wide range of agreements like SaaS subscription agreements, software licenses, cloud computing agreements, data processing agreements, technology vendor contracts, and more.
Legal Risk Management:
Identifying and mitigating legal risks associated with IT contracts, including data security, privacy, intellectual property, and compliance issues.
Compliance and Regulatory Expertise:
Ensuring compliance with relevant laws and regulations, such as GDPR, CCPA, data protection laws, and industry-specific regulations impacting technology contracts.
Strategic Advice:
Providing legal guidance to the IT department, business units, and senior management on IT-related legal matters, including contract negotiations, technology acquisitions, and compliance issues.
Contract Lifecycle Management:
Developing, implementing, and maintaining robust contract management processes and templates to ensure efficiency, consistency, and compliance across the organization.
Intellectual Property:
Advising on intellectual property issues related to IT contracts, including software licensing, patent rights, trademarks, and copyright protection.
Data Privacy and Security:
Providing expertise on data privacy and security regulations, ensuring compliance with data protection laws, and advising on data transfer agreements and other relevant contracts.
Litigation Support:
Providing legal support in case of litigation or disputes arising from IT contracts, working with external counsel as needed.
Training and Education:
Providing training to internal teams on IT contract law, data privacy, and other relevant legal topics.
Qualifications and Skills:
Professional Degree:
A law degree from an accredited law school is essential.
Bar Admission:
Active membership in good standing with the relevant state bar association(s).
Experience in Technology Law and Contracts:
Significant experience drafting, reviewing, and negotiating IT contracts, preferably in an in-house or corporate legal environment.
Knowledge of IT Industry:
Data Privacy and Security Expertise:
Experience with data privacy and security laws and regulations, including GDPR, CCPA, and other relevant legislation.
Contract Lifecycle Management:
Experience with contract management processes, including contract drafting, negotiation, execution, and administration.
